To file your mandatory Beneficial Ownership declaration with the CIPC, you need to upload a signed mandate letter/resolution authorizing the filer, an updated securities register or beneficial interest register, and certified ID/passport copies of all ultimate owners holding 5% or more control. All document uploads must be under 3MB.

If you use our fast-tracked automated ID verification via the Department of Home Affairs OTP system, the turnaround time is significantly quicker.
It is not a once-off process. The CIPC enforces a hard stop requiring all companies and close corporations to submit their Beneficial Ownership Declaration every single year. This must be filed within 30 business days after your company’s anniversary date, right before you submit your standard Annual Returns, even if your ownership structure hasn't changed.
The compulsory VAT registration threshold in South Africa is R2.3 million in total annual sales. If your business turnover exceeds this amount, registering for VAT is legally required. However, if your annual revenue is above R120 000, you are eligible to register voluntarily to claim back input tax.
Failing to submit these filings on time results in immediate late-filing financial penalties. Continued non-compliance triggers formal enforcement investigations by the CIPC, compliance notices, and will ultimately lead to the automatic referral of your business for final deregistration—meaning your company legally ceases to exist.
